General Terms and Conditions of FinTech Community Frankfurt GmbH for the online purchase of tickets

1. Scope

The following terms and conditions apply to contracts for the sale of tickets (hereinafter: "tickets") via the Internet between FinTech Community Frankfurt GmbH (hereinafter: "FinTech Community Frankfurt") and the purchaser of tickets or guest of events (hereinafter: "festival participant"). The general terms and conditions or business or purchasing conditions of the festival participant only become part of the ticket purchase if they are expressly and in writing accepted by FinTech Community Frankfurt. The mere fact that the festival participant refers to corresponding regulations and declares them applicable is not sufficient, even if this remains unchallenged by FinTech Community Frankfurt.

2. Conclusion of the contract

The festival participant makes a binding offer by sending their order. This is accepted by the FinTech Community Frankfurt by initiating the recording or debiting of the amount owed for the ticket purchase, if necessary. The festival participant waives the receipt of an acceptance declaration.

3. Ticket price

The prices for tickets are based on the corresponding information on the website, whereby the prices stated on the website at the time of ordering are decisive. The purchase price is due for payment immediately after the conclusion of the contract. The festival participant pays the amount specified in their order using credit card, PayPal, prepayment, instant transfer, SEPA direct debit, or iDeal. Fulfillment only occurs in both cases when the amount has been credited to the account of the FinTech Community Frankfurt.

4. Ticket and eligibility to participate

The festival participant receives an email from the FinTech Community Frankfurt with the ticket for self-printing as well as an electronic ticket for a mobile terminal device. Access to the respective event is only granted with this ticket. Purchased tickets are generally not refundable, except in the case of a postponement of the event. The transfer of the ticket to another guest is not permitted.

5. Right of withdrawal for consumers

Pretix offers tickets in the area of leisure activities on the website www.pretix.eu within a specific date or time period. According to § 312g Abs. 2 Sentence 1 No. 9 BGB, this offer does not constitute a remote sales contract. The right of withdrawal from a contract or the return of tickets according to § 312g Abs. 2 Sentence 1 No. 9 BGB is excluded.

6. Liability

The FinTech Community Frankfurt is liable for intentional misconduct and gross negligence. In cases of light negligence, the FinTech Community Frankfurt is only liable for breaches of essential contractual obligations, particularly the main performance obligations.

In cases of light negligence, the FinTech Community Frankfurt is liable for typically foreseeable damages, but not for consequential damages, and limited to a maximum of ten times the ticket price paid. All liability limitations are excluded for the liability of the FinTech Community Frankfurt for damages resulting from injury to life, body, or health. The FinTech Community Frankfurt assumes no liability for other participants in the event, which particularly applies to exhibitors and other contributors to the event, their actions and omissions, the manner of their participation in the event, as well as the content conveyed by them.

7. Copyrights

The event materials as well as all publications or design elements used by the FinTech Community Frankfurt in relation to the event are protected by copyright. The reproduction, distribution, or any other use of the event materials or of other publications or design elements is only permitted with the express written consent of Die Frankfurt.

8. Data Protection and Email Communication

The FinTech Community Frankfurt protects the personal data of the festival participants. The FinTech Community Frankfurt will treat the data provided by the festival participant confidentially and will only use it in accordance with data protection regulations. Personal data is all data that is stored in connection with the festival participant. The personal data provided by the festival participant (first name, last name, address, email address) will be stored and used by FinTech Community Frankfurt in the

participant file and, where necessary, passed on to commissioned service providers, partners, and other third parties. The festival participant agrees that FinTech Community Frankfurt uses email communication as a means of correspondence and sends information to the festival participant without limitation via email. The festival participant is aware that emails can contain viruses, that other internet participants can gain knowledge of the content of the emails, and that it is not guaranteed that the emails actually come from the sender that is specified. Image and sound recordings

  • 9.1 Insofar as the FinTech Community Frankfurt produces and/or has recordings of the festival visitor's image and/or sound made during the festival within the framework of the festival, the festival visitor hereby agrees that their likeness is included in the works, and they also agree that copyright-protected content is included in the works for their benefit by the FinTech Community Frankfurt and that these may be used by Frankfurt in accordance with the subsequent paragraphs/regulations.

  • 9.2 In this respect, the festival visitor expressly declares their consent pursuant to § 22 KunstUrhG for the use of images of their person generated during the Impact Festival by the FinTech Community Frankfurt in the works of the FinTech Community Frankfurt as well as their consent to the use of copyright-protected content for their benefit that has found a place in the works of the FinTech Community Frankfurt or will find one, which the FinTech Community Frankfurt has created or will create in the context of the Impact Festival, through the granting of corresponding usage rights pursuant to § 31 UrhG.

  • 9.3 These usage rights explicitly include all known and unknown forms of offering opportunities on the Internet, in particular the possibility of integration within paid online services and websites as well as within freely accessible Internet and all forms of presentation in print media. In particular, by participating in the festival, the festival visitor grants the FinTech Community Frankfurt the following exclusive, temporally and territorially unlimited usage rights:

Usage rights are granted:

  • a) the right to reproduce, make publicly accessible and distribute, i.e. the right to reproduce the image and/or the copyright-protected work for the benefit of the festival visitor, using any technical possibility, in particular by printing or digital embedding on the website, without limit;

  • b) the right to provide on demand, i.e. the right to save the image and/or the copyright-protected work for the benefit of the festival visitor, to keep it available for the public, to transfer it to one or more users, and this in all analog or digital electronic databases, electronic data networks, and telecommunications service networks;

  • c) the right to public reproduction, i.e. the right to reproduce the image and/or the copyright-protected work for the benefit of the festival visitor commercially or non-commercially, through sound carriers, image carriers, audiovisual carriers, multimedia carriers, or other data carriers, in particular also magnetic tapes, cassette tapes, image discs, chips, in all formats, using all analog and digital methods and techniques or in print media publicly;

  • d) the right to make modifications, i.e. the right to redesign and edit the image and/or the copyright-protected work for the benefit of the festival visitor, respecting the personal rights of the author, by themselves or through third parties, especially to digitize for integration into the website;


  • 9.4 The usage right also includes partial use of the likeness and/or of the copyright-protected work for the benefit of the festival visitor and use in connection with other works.

10th amendment / cancellation of the event

The FinTech Community Frankfurt reserves the right to replace or omit announced program points, co-organizers, participants, sponsors, exhibitors, or other elements of the event with others, as well as to make changes to the event program that are deemed necessary by the FinTech Community Frankfurt. Frankfurt is also entitled to relocate the event and/or postpone it to another date in the presence of significant reasons.

If the event cannot be held due to force majeure (including health-endangering circumstances), due to legal or official measures or orders, due to the elimination of significant parts/elements of the event, due to disruptions at the venue, or due to too few participants, the participants will be informed immediately by the FinTech Community Frankfurt. The cancellation will occur without delay after it is firmly established that the circumstances necessitating the cancellation are known. The participation fee will be refunded in

these cases. Any claim for reimbursement of travel and accommodation costs, other expenses or costs, as well as loss of work, is excluded in any case, unless such costs arise due to grossly negligent or intentional behavior on the part of the FinTech Community Frankfurt.

11. Applicable Law

Only the law of the Federal Republic of Germany applies, excluding the UN Sales Convention.

12. Jurisdiction

The jurisdiction for all legal disputes arising from the contract is Frankfurt am Main, if the contracting parties are merchants, legal entities under public law, or special public law assets, or at least one of the contracting parties has no general jurisdiction in the Federal Republic of Germany, or moves their residence or habitual abode outside the Federal Republic of Germany after the conclusion of the contract, or their residence or personal location is not known at the time the lawsuit is filed.

13. Final Clause

If one or more provisions of this contract are or become wholly or partly invalid, the rest of the contract shall remain valid. Invalid provisions will be replaced by provisions that come closest to the purpose intended by the parties.

General Terms and Conditions (Solution Providers, Exhibitors, Partners, Sponsors)

1. Organizer

The Impact Festival (hereinafter referred to as "Festival") is organized by the FinTech Community Frankfurt GmbH based in Frankfurt am Main (hereinafter referred to as "Organizer").

2. Registration and conclusion of the contract

There are two options for concluding the contract: 1. through a written contract or 2. by providing access for the interested parties to the software "Profairs", where they can view the costs of the packages. The application is made through the "Profairs" platform, including the indication of the desired booth size, content participation, and the total costs displayed there. This constitutes the offer from the exhibitor. The contract is concluded through the acceptance and confirmation of the offer by the organizer.

3. Costs and Payment Terms

Upon completion of the contract and receipt of the invoice, 100% of the total amount is due within 30 days. Timely payment is a prerequisite for all participation rights, including the allocation of the exhibition space, if included in the services.

4. Withdrawal

The solution provider/sponsor has the right to withdraw from the contract in writing and without stating reasons within 14 days of conclusion of the contract. This withdrawal does not incur any costs. A withdrawal after this period is not possible.

5. Relocation of the festival

If the festival is postponed to a new date, the contract term will automatically extend until the end of the following year in question, without any new/additional payment obligations arising for the solution provider/sponsor.

6. Time and place of the festival

The festival is to take place at the location and time specified in the contract. The organizer has the right to change the location and time of the festival if this becomes necessary or, in the organizer's view, required. The organizer will notify the solution provider / sponsor of any changes as early as possible.

7. Trade Fair Construction & Transport

The solution provider / sponsor is responsible for the construction of the trade fair as well as the transport of goods to and from the venue. Unless it is explicitly included in the service offerings from the organizer, any costs incurred must be borne by the solution provider / sponsor. The setup and dismantling are only allowed within the communicated time frames on the day before and after the actual event. The times for setup and dismantling must be strictly adhered to. No stand may be dismantled before the end of the event. The solution provider / sponsor is liable for any damages in and to the exhibition hall.

8. Exhibition Space

The exhibition has an open character. It is not intended to separate individual stands with self-erected walls. The allocation of a stand area is determined by the organizer based on relevant thematic focuses. There is no claim to the allocation of a specific stand area in a particular hall or outdoor area. Special requests and categorizations will be considered where possible when assigning the stand area. Depending on the project, an expansion of the stand may be carried out. Corresponding ideas must be provided in advance. If there are projections, pillars, installation connections, or other permanent fixtures on the rented stand area, this does not entitle the participant to a reduction in the participation fee or to any other claims or rights.

9. Stand Equipment & Care

The setup of the booths must take place within the opening hours for solution providers with booth space and must be completed by the opening time for visitors. The dismantling and removal of materials is only permitted after the closing time for visitors. The booths must always be staffed during the opening hours for visitors to the event and must comply with the pre-established scope and provisions. An early departure or early dismantling of the booth will result in a contractual penalty of €1,500.00 net.

10th Festival Guide and Promotion

Only with a timely submission of exhibitor information in high quality can the organizer ensure inclusion in marketing and PR activities. This particularly applies to the entry on the website as well as the compilation of press materials.

11. Image and text rights as well as data protection

By registering, each solution provider / sponsor agrees that the submitted documents may be used for corresponding documentation as well as promotional and public relations purposes and may be shared with third parties. Image and text rights must be free from third-party rights. Insofar as personal data is included in the submitted documents, the solution provider / sponsor assures that they have obtained all necessary permissions prior to submitting the documents, so that the organizer can use these documents along with the personal data unrestrictedly within the framework of promotion and public relations. At the request of the organizer, the solution provider / sponsor must provide the organizer with appropriate evidence of the obtained permissions. The solution provider / sponsor is fully responsible for the accuracy and completeness of the information provided as well as for ensuring that the organizer can use this information unrestrictedly and comprehensively in connection with promotion and public relations.

12. Technical Guidelines & Safety Information

The currently valid Technical Guidelines of Messe Frankfurt and the organizer's safety information are part of the contract. We would be happy to send these upon request.

13. Force Majeure

If the exhibition has to be canceled, postponed, shortened, or closed due to force majeure (natural disasters, war, unrest, pandemics) or by official order, the solution provider/sponsor has no claim for compensation for damages arising from this. Payments already made to the organizer cannot be reclaimed by the solution provider/sponsor in this case.

14. Liability

The organizer is only liable in accordance with legal requirements. The organizer is not responsible for items provided by the solution provider / sponsor, i.e. neither for any dangers that may arise from these nor for ensuring that they are not stolen or damaged by third parties. This applies not only during the exhibition times but also during the times between them as well as during the assembly and disassembly times before and after the end of the festival. The exhibitor is responsible for the rented area as well as for rented or custom stand materials, exhibits, and furniture as well as technology.

There is generally no stand security. This can be ordered by the exhibitor through the organizer. Additional costs will apply.

15. Place of performance/jurisdiction

The place of performance and jurisdiction is Frankfurt am Main. German law exclusively applies to the contractual relationships. The conditions listed here always apply.

16. Severability Clause

If provisions of the cooperation agreement (including the annexes) are partially incomplete or ineffective, the validity of the remaining provisions of the contract shall not be affected thereby. In this case, the parties commit to replacing the ineffective provision with a regulation that best achieves the economic purpose pursued by the parties.

17. Sustainability

The solution provider/sponsor commits to striving for a sustainable implementation of the trade fair appearance. The use of typical disposable items such as flyers is not permitted during the event. This also applies to plastic packaging or disposable cups. The aim is to contribute to reducing waste and promoting sustainable practices through environmentally friendly measures and the use of resource-saving materials.

18. Authority to Issue Instructions & Exclusion from the Event

During the setup, the event, and the takedown, the instructions of the security personnel and the guidelines set by the organizer must be strictly followed. The designated event manager is authorized to exclude exhibitors from the event and remove them from the event area in case of non-compliance with these instructions. Exclusion does not affect any outstanding or already made payments to the organizer.
